Direct Client Master Services Agreement

1. Parties and Agreement Scope

This Direct Client Master Services Agreement ("Agreement") is entered into by and between Pistons and Piers LLC, a Texas limited liability company doing business as We Find Lines ("We Find Lines," "we," "us," or "our"), and the individual, property owner, buyer, seller, or entity accepting this Agreement or booking services with us ("Client," "you," or "your"). This Agreement governs all sewer scoping, sewer camera recording, line locating, utility finding, mapping, and related technical field services (collectively, "Services") provided by us for the designated property.

2. Scope of Services & Technical Limitations

We Find Lines provides non-invasive, field-technical line locating and video recording. For sewer line services, we insert a specialized camera and radio frequency sonde through an accessible, ground-level cleanout, record video footage inside the line, track the line from the surface, and supply depth estimates and a visual line path map. For private utility line scans, we apply a locating signal to metallic and tracer-wired lines and trace them from the surface.

Technical Observation Only: Our Services constitute technical field observation and data collection only. We Find Lines is not a licensed plumbing repair firm, engineering service, or general building inspection company.

No Plumbing Repairs or Diagnostic Opinions: We do not clear, repair, jet, evaluate, or replace plumbing systems, nor do we provide engineering-grade structural assessments or warranties regarding the remaining operational lifespan of any subterranean pipe.

Non-Invasive Procedure: We perform non-invasive line tracing. We do not perform excavation, wall removal, or structural dismantling to access lines.

3. Deliverables and Technical Disclaimers

Upon completion of field operations and receipt of full payment, we will deliver your digital camera footage and line map (including estimated surface path and depth markers) via an electronic link or online customer portal.

Measurement Estimates: Depth readings, surface paint/flag markers, and line path trajectories are visual field estimates subject to soil density, electromagnetic interference, structural pipe angles, surface grade changes, and technical limits of radio frequency locators. They do not constitute engineering land surveys.

Subsurface Pipe Hazards: While we exercise reasonable professional care, subterranean pipes often contain unknown, pre-existing degradation, structural collapses, standing water, grease buildup, or root intrusion. We Find Lines assumes no responsibility for pre-existing pipe failure or equipment entrapment resulting from unmaintainable or collapsed subsurface conditions.

4. Property Access, Cleanouts, and Site Conditions

You represent and warrant that you own the property or have secured full legal authority from the property owner for We Find Lines to enter the premises and execute the Services. You agree to provide unobstructed access to the property and a functional, accessible ground-level cleanout.

Cancellation & Trip Fee ($75): A flat $75 service call fee applies if our technician arrives at the scheduled property and is unable to complete the work due to:

• Inability to access the property or locked access points;
• Lack of an accessible, usable ground-level cleanout; or
• Hazardous, unsafe, or unworkable site conditions.

5. Texas 811 and Lines We Cannot Locate

We Find Lines provides independent private utility locating and diagnostic sonde tracing services. Private utility locating supplements, but does not replace, mandatory public utility notification calls to Texas 811 prior to excavation. You are responsible for contacting Texas 811 before any excavation, as required by Texas Utilities Code Chapter 251.

Non-metallic lines, such as plastic water, gas, or irrigation lines, cannot be located electronically unless tracer wire was installed with them. The absence of a mark does not mean no line is present. You are responsible for safe excavation practices, including careful hand digging near marked lines.

6. Pricing and Payment Terms

Service Rates: Rates for direct services are displayed at the time of booking or in your written estimate.

Payment Obligation: Payment is due upon completion of field work or prior to the release of deliverables, unless prior written arrangements are agreed upon. We accept major credit cards, debit cards, and electronic bank transfers (ACH).

Late Payments: Past due accounts are subject to a late charge of 1.5% per month (18% per annum) or the maximum rate permitted by Texas law, whichever is lower, plus all costs of collection, including reasonable attorney fees.

7. Surface Marking and Property Appearance

During line locating operations, our technicians may apply temporary surface paint, chalk, or placement flags to mark subterranean utility runs and depth points. Temporary surface markings are designed to wash or wear away over time. We Find Lines is not liable for minor, temporary cosmetic surface residue resulting from standard field locate procedures.

8. Intellectual Property & License to Footage

Pistons and Piers LLC retains ownership and copyright of all raw video recordings, radio signal logs, and digital mapping data collected during field operations. Upon payment in full, you are granted a non-exclusive, perpetual, personal license to view, store, copy, and share the deliverables with your contractors, real estate professionals, or home buyers/sellers for transaction or repair purposes.

9. Indemnification

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS PISTONS AND PIERS LLC (D/B/A WE FIND LINES), ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, AND SUBCONTRACTORS FROM AND AGAINST ANY AND ALL CLAIMS, LIABILITIES, DAMAGES, LOSSES, COSTS, CAUSES OF ACTION, OR EXPENSES (INCLUDING REASONABLE ATTORNEY'S FEES) ARISING OUT OF OR RELATING TO:

• UNAUTHORIZED OR UNPERMITTED ACCESS TO THE PROPERTY GRANTED BY YOU;
• PRE-EXISTING DEFECTS, STRUCTURAL FAULTS, OR COLLAPSES OF SUBTERRANEAN PLUMBING LINES OR UTILITIES; OR
• DECISIONS, REPAIRS, EXCAVATIONS, OR REAL ESTATE TRANSACTIONS EXECUTED BY YOU OR THIRD PARTIES BASED UPON OUR DELIVERABLES;

EXCEPT TO THE EXTENT THAT SUCH CLAIM DIRECTLY RESULTS FROM THE SOLE GROSS NEGLIGENCE OR WILLFUL MISCONDUCT OF WE FIND LINES.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY TEXAS LAW, IN NO EVENT SHALL PISTONS AND PIERS LLC (D/B/A WE FIND LINES) BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR COVER DAMAGES, INCLUDING LOST REAL ESTATE TRANSACTIONS, PROPERTY REMEDIATION COSTS, ALTERNATIVE ACCOMMODATION COSTS, OR DOWNTIME, ARISING OUT OF OR IN CONNECTION WITH OUR SERVICES.

OUR TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS, DEMANDS, OR CAUSES OF ACTION ARISING FROM A SPECIFIC JOB SHALL NOT EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO US FOR THAT SPECIFIC SERVICE WORK.

11. Insurance

We Find Lines maintains commercial general liability insurance and professional liability coverage appropriate for technical utility locating and pipeline video operations. Proof of insurance is available upon request.

12. Independent Contractor Status

We Find Lines provides Services as an independent contractor. Nothing in this Agreement creates an employment relationship, agency, joint venture, or partnership between you and Pistons and Piers LLC.

13. Governing Law, Venue, and Waiver of Jury Trial

This Agreement, its interpretation, and all legal disputes arising under or related to it shall be governed by and construed in accordance with the laws of the State of Texas, without giving effect to conflicts of law principles.

Exclusive Venue: Any legal suit, action, or proceeding arising out of or relating to this Agreement shall be instituted exclusively in the state courts located in Ellis County, Texas.

WAIVER OF JURY TRIAL: EACH PARTY HEREBY KNOWINGLY, VOLUNTARILY, AND INTENTIONALLY WAIVES ANY RIGHT IT MAY HAVE TO A TRIAL BY JURY IN RESPECT OF ANY LITIGATION ARISING OUT OF, UNDER, OR IN CONNECTION WITH THIS AGREEMENT.

14. Severability and Complete Agreement

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. This Agreement constitutes the complete and exclusive understanding between you and Pistons and Piers LLC d/b/a We Find Lines regarding direct client services, superseding all prior verbal discussions, text messages, or informal estimates.

15. Electronic Acceptance and Authority

By checking the acceptance box, clicking "I Agree," signing an online work authorization, or approving a direct service booking, you explicitly confirm that:

• You have read, understood, and agreed to all terms of this Agreement;
• You own or are authorized by the owner to permit access to the property; and
• Your electronic signature or digital confirmation carries the same full legal effect as an original handwritten wet signature under the Texas Uniform Electronic Transactions Act (TUETA).
